Terms & Conditions
Terms & Conditions
These Terms & Conditions govern your use of Nearby, a neighbourhood product designed, operated, and published by Habriq Ltd (Republic of Rwanda). By creating an account or using the service, you agree to them. Read them together with our Privacy Policy. The Habriq company website has separate website terms for browsing www.habriq.rw.
1. Acceptance
By accessing or using Nearby, you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the service. Browsing the Habriq company website alone does not enrol you in Nearby or mean you have accepted these product terms.
2. About Nearby
Nearby is operated by Habriq Ltd, a company registered in the Republic of Rwanda. Habriq Ltd develops, owns, and operates Nearby as a digital platform (web and, where available, mobile) that connects individuals within local communities to exchange, sell, donate, or request everyday resources - including water and household goods - and to report and recover lost items and animals. Nearby provides platform facilitation and connection services between neighbours. It is not a seller, buyer, courier, insurer, or guarantor of any exchange. Item prices, where agreed, are paid peer-to-peer outside Nearby.
3. Eligibility
You must be at least 18 years old and able to enter a binding agreement under applicable law. You must provide accurate account information and keep your credentials secure. You are responsible for activity on your account.
4. Your account
You sign in with your Rwanda mobile phone number and password. Phone number is your account identity; Nearby does not use email signup. Do not share your password or one-time codes. We may suspend or terminate accounts that violate these terms or pose a risk to other users or the platform. One Rwanda mobile number signs in to one account. Signup refuses a number that is already taken.
5. Listings and content
You are responsible for listings you post, including accuracy, legality, and photos. You grant Nearby a licence to display, store, and process your content to operate the service. You must not post prohibited items, misleading listings, or content that infringes others’ rights. Ended listings are not “offered again” through a relist flow; a fresh post starts from Home. Admin-removed listings leave the public feed; owners may see them in an archive for a limited time.
6. Meetups, quality, and safety
Exchanges happen in person between neighbours. Nearby does not inspect items, water quality, or meeting locations. You are responsible for your own safety, verifying what you receive, and complying with local laws. Meet in sensible public places where you feel safe. When you finish, the buyer confirms reception in Nearby (including quantity when relevant). That record supports coordination and Pulse metrics. It is not a release of funds held by Nearby, because Nearby does not hold item money.
7. Fees and paid services
Nearby is free for individuals: posting, browsing, messaging, and completing an exchange carry no platform fee. On Sell listings, after a buyer shows interest, matched neighbours can message without paying Nearby. The listing price for an item is agreed and paid directly between users outside Nearby. Nearby never holds item money. Nearby may offer optional subscription-based demand-visibility and priority-access services to registered vendors and suppliers (for example water sellers and tanker operators). Those fees, features, and terms are shown before you subscribe or renew. Nearby may change paid-service pricing and features with notice where required by law. If we ever reintroduce a per-connection fee for a specific flow, we will say so in the product and here before it applies.
8. Disputes and conduct
If something goes wrong, you may report or open a dispute. Nearby reviews conduct on the platform (for example warnings, no action, or suspension). Nearby does not adjudicate item-price refunds between neighbours and does not hold or refund money paid outside the app. Outcomes of Nearby’s moderation process are final for platform access.
9. Prohibited use
You must not use Nearby for scams, harassment, hate speech, illegal goods, dangerous items, impersonation, spam, or attempts to bypass fees or safety systems. Automated scraping or abuse of the service is not allowed.
10. Suspension and termination
We may limit, suspend, or terminate access if you breach these terms, if we must comply with law, or to protect users and the service. You may stop using Nearby at any time. Provisions that by nature should survive (including liability limits and governing law) continue after termination.
11. Intellectual property
Nearby’s name, branding, software, and design are owned by Habriq Ltd or its licensors. You may not copy or misuse them except as allowed to use the service.
12. Limitation of liability
To the fullest extent permitted by law, Nearby is provided “as is”. We do not guarantee uninterrupted or error-free service. Nearby is not liable for indirect, incidental, or consequential losses arising from neighbour-to-neighbour exchanges, meetups, or payments outside the app. Nothing in these terms excludes liability that cannot be excluded under applicable law.
13. Governing law
These terms are governed by the laws of the Republic of Rwanda, without regard to conflict-of-law rules. Disputes should first be raised with us in good faith; where courts have jurisdiction, competent courts in Rwanda may hear the matter unless mandatory law provides otherwise.
14. Changes
We may update these Terms & Conditions. We will update the “Last updated” date when we do. Material changes may be communicated in-app or on the website. Continued use after changes take effect constitutes acceptance, subject to your rights under applicable law.
